ESSENTIAL DUTIES AND RESPONSIBILITIES To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. * Provide support for corporate governance matters; * Proxy statement support; * Financial statements and SEC compliance support; * Review, draft and negotiate consulting agreements and engagement letters; * Provide support for Finance, Treasury and Tax departments (including working on compliance certificates for credit agreements, promissory notes, intercompany dividends); * Intercompany agreements; * Real estate matters; * NDAs and service agreements; * Assist in due diligence activities with new acquisitions * Human Resources support (contracts, employee benefits matters); * Information Systems contracts (software and hardware on an as-needed basis); * Press releases; and * Perform other duties as assigned. Job Requirements The requirements listed below are representative of the knowledge, skill, and/or ability required for this position. Education: Bachelors Degree and J.D. degree from accredited institutions. Type and Number Years of Experience: 2-4 or more years experience working on general corporate, commercial law, contract drafting and securities law matters in a corporate department of a law firm or a corporate law department of a company. Pharmaceutical, biotechnology or medical device industry experience a plus. Other Skills: * Demonstrates excellent written and oral communication skills; * Demonstrates initiative and ability to manage projects from start to completion; * Operates well independently and without close supervision; * Good organizational and follow-up skills; * Excellent attention to detail; * Remains calm and focused in pressure situations; * Ability to interact with a wide variety of employees from other departments; * Ability to maintain confidentiality and assist on sensitive matters with discretion; * Ability to adapt to a changing environment and work under tight deadlines; and * Successfully sets priorities, performs tasks in an orderly fashion and meets deadlines.
